These terms apply to every account, quote, and order on Urety.co. They are written in plain English and use Türkiye-specific terminology where commercial law makes that necessary.
1. Acceptance and changes
By creating an account or otherwise using the platform you confirm that (a) you are at least 18 years old or the age of legal majority in your jurisdiction, (b) you have authority to bind the company on whose behalf you act, and (c) you accept these terms. We may update these terms; material updates are notified by email and a banner on the platform at least 14 days before they take effect, except where the change is required by law and a shorter notice is unavoidable.

| Deliverable | The physical parts and accompanying documentation produced under an Order. |
| IP | Intellectual property, including designs, drawings, code, and brand assets. |
| Confidential Information | Non-public business or technical data exchanged between the parties. |
3. Account and access
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorised use. We may suspend or terminate accounts for breach of these terms, suspicious activity, or non-payment.
4. Quote and order lifecycle
The typical lifecycle is:
- You upload CAD files and submit a brief.
- The platform runs topology and DFM analysis. The AI co-pilot proposes process and material options for your review.
- A Quote is generated. Quotes are valid for 14 days unless otherwise stated.
- You confirm the Quote and place an Order.
- We coordinate production with a vetted Manufacturing Partner.
- Parts are inspected and shipped per the agreed Incoterms.
Quotes are price offers, not contracts. A binding contract is formed only when an Order is confirmed. We reserve the right to decline an Order before confirmation if it falls outside our acceptable use policy or our partners cannot meet the requested specifications.
5. Pricing, payment, and taxes
Prices are stated in the currency selected at quote time (TRY, USD, or EUR). Unless explicitly noted, prices exclude VAT/KDV, customs duties, and import taxes. Payment terms are payment-on-order for new accounts; verified business accounts may receive 14- or 30-day net terms after a credit check. Late payments accrue statutory interest under Türkiye Commercial Code.
6. Shipping, risk, and delivery
Default Incoterms are FCA (origin) for international orders and DAP (destination) for domestic orders within Türkiye, unless agreed otherwise. Risk of loss passes per the agreed Incoterms. We offer reasonable best efforts on delivery dates, which are estimates unless explicitly committed in writing on the Order.
7. Inspection and acceptance
You have a 5 business-day inspection period after delivery to flag defects or non-conformance to the agreed specification. Notifications must be sent to info@urety.co with photographs, measurements, and the order reference. Parts not flagged within the inspection period are deemed accepted.
8. Warranty and remedies
We warrant that Deliverables will conform to (a) the dimensions and tolerances called out on the agreed drawing, (b) the material grade and finish specified, and (c) workmanship standards expected for the chosen process. Default tolerances apply ISO 2768-mK unless tighter values are called out. Our exclusive remedy for breach is, at our option, repair, replacement, or refund, capped at the value of the affected line items.
9. Intellectual property
You retain all intellectual property rights in your designs, drawings, brand assets, and any data you upload. By using the platform you grant us a limited, non-exclusive, royalty-free licence to use this content solely to operate the platform, fulfil your Order, and improve internal tooling on aggregated, non-identifying data. We do not use your CAD geometry to train shared third-party models without your explicit, granular opt-in.
The platform itself, including its software, design system, AI tooling, and brand assets, is owned by URETYCO TEKNOLOJİ ANONİM ŞİRKETİ and protected by applicable IP law. You receive a non-transferable, revocable licence to use the platform under these terms.
10. Confidentiality and NDAs
Each party agrees to keep the other party's Confidential Information confidential and to use it only for the purposes of the Order. We share scoped technical data with Manufacturing Partners only after they have signed a back-to-back confidentiality agreement that mirrors the protections you have under these terms. Suppliers never see customer identity, other customers' work, or data outside the scope of their job.
11. Liability cap
To the maximum extent permitted by law, our aggregate liability arising from or related to an Order is limited to the amounts paid by you for that Order. Neither party is liable for indirect, consequential, incidental, special, or punitive damages, including loss of profits, revenue, or data. This cap does not apply to liability arising from gross negligence, wilful misconduct, breach of confidentiality, or breach of intellectual property rights.
12. Indemnification
You agree to indemnify and hold URETYCO TEKNOLOJİ ANONİM ŞİRKETİ harmless from third-party claims arising from (a) your CAD files or instructions infringing third-party rights, (b) your use of Deliverables in violation of law, or (c) your breach of these terms. We agree to indemnify you from third-party claims that the platform itself infringes their IP rights, subject to the liability cap above.
13. Force majeure
Neither party is liable for failure to perform caused by events beyond reasonable control, including natural disasters, pandemics, government actions, internet outages, or major supplier failures. The affected party will notify the other promptly and use reasonable efforts to minimise impact.
14. Term and termination
These terms apply for as long as you have an account or an active Order. Either party may terminate the account for convenience with 14 days' notice. Termination does not relieve either party of obligations accrued before termination, including payment obligations and confidentiality obligations.
15. Governing law and jurisdiction
These terms are governed by the laws of Türkiye. The courts and execution offices of Kocaeli, Türkiye have exclusive jurisdiction over disputes arising from these terms, without prejudice to any non-derogable consumer protection rights you may have.
16. Notices
Formal notices to URETYCO TEKNOLOJİ ANONİM ŞİRKETİ should be sent by email to info@urety.co and by registered post to Muallimköy Mah. Deniz Cad. Muallimköy T.G.B. 1. Etap Sitesi, 1.1.C1 Blok No: 143/8 İç Kapı No: Z01, 41400 Gebze / Kocaeli, Türkiye. Notices to you are sent to the email associated with your account.
17. Miscellaneous
- Assignment. You may not assign these terms without our consent. We may assign them to an affiliate or successor in connection with a corporate transaction.
- Severability. If a provision is held unenforceable, the rest of these terms remain in effect.
- Entire agreement. These terms (with the Sales and Manufacturing Agreement, Privacy Notice, and any signed enterprise addendum) form the entire agreement between you and us regarding the platform.
- Language. The English version of these terms is the controlling version. Translations are provided for convenience.
